ARTICLE I — GOALS
- To foster the safe and enjoyable flying of radio controlled aircraft.
- To acquire and develop a site suitable for the operation of such models from land and water. The Squadron shall be committed to the highest standards in the creation and maintenance of a facility that will provide for its membership the best possible opportunity to enjoy the hobby of radio control modeling in all its aspects.
- The ultimate goal shall be to secure a permanent base for the Squadron capable of being developed into the finest model facility in the Northwest.
- To promote the fellowship of those who share a common interest in radio controlled aircraft, large and small, and who are committed to the goals of the Squadron.
ARTICLE II — MEMBERSHIP
- Any person of good repute, who is prepared to commit to the ideals, goals and support of the squadron, who is willing to accept the financial obligations required in their membership class, (full or junior) including the payment of initiation fees, annual dues and such assessments as may be required from time to time, who undertake to join and maintain membership in the Academy of Model Aeronautics (AMA) and any other organization deemed necessary for the protection of the Squadron as set out in the Constitution or By Laws shall be eligible for membership in the Oregon Miniature Aircraft Squadron #1.
ARTICLE III — EXECUTIVE BOARD, ELECTIONS, DUTIES
- Executive Board - The business of the Squadron shall be conducted by an Executive Board nominated and elected by the general membership. The board shall consist of at least four members and no more than seven. The board shall be empowered to appoint a member of the Squadron to any vacancy that may occur on the board and that member may serve until the next regular election.
- Elections - Elections shall be held annually in conjunction with the annual meeting of the Squadron. The annual meeting shall be held in February, or as close thereto as possible. Approximately half of the board members must be elected at each annual meeting. Once elected, Board members shall serve from that time until the annual election two years hence. The President of the outgoing board shall continue as President pending the election of his replacement at the first meeting of the newly elected board.
- President - The executive board shall elect from amongst its members a President, who will serve as such for one year. Upon completion of his term, the President shall remain eligible for re-election to the Presidency without limit to the number of terms in that capacity.
- Secretary/Treasurer - The executive Board shall elect from amongst its members a Secretary/Treasurer to serve for a period of one year. Upon completion of his term, the Secretary/Treasurer shall remain eligible for re-election to the position of Secretary/Treasurer without limit to the number of terms in that capacity. This position may be separated into two positions and filled by two board members.
- Duties of the Executive Board
- The President shall chair all meetings of the Board and of the general membership. He shall belong, ex officio, to all Squadron subcommittees and shall be empowered to represent the Squadron when conducting business with the general public.
- The Secretary/Treasurer shall be responsible for the minutes of all meetings of the Board and general membership, for the management and disbursement of Squadron funds and the recording of all such transactions, for the maintenance of membership records and the billing of dues.
- Board Members shall be responsible for convening subcommittees amongst the general membership for the purpose of conducting Squadron business and to reporting to the Board and the general membership on progress made.
- Requiring the support at least six members, a motion to remove a Board member from office may be made at any regularly scheduled meeting of the squadron. The motion must be voted upon at the next regularly scheduled meeting of the squadron. Approval of such a motion must be by two-thirds of the responding membership. Response can be in person, or in written proxy.
ARTICLE IV — SQUADRON MEETINGS
- Regular meetings of the Squadron shall be conducted at least quarterly. The annual meeting shall be held each February, or as close thereto as possible. Members shall be expected to attend the annual meeting.
ARTICLE V — BY LAWS
- By Laws shall be established and amended by a two thirds majority vote of attending members at any regularly scheduled meeting of the squadron. At least thirty days must elapse following a motion to establish or amend a By Law before the motion is voted upon.
- Requiring the support of a simple majority of attending members, motion to establish or amend a By Law may be made at any regularly scheduled meeting of the squadron.
ARTICLE VI — AMENDING THE CONSTITUTION
- Requiring the support of at least six members, motion to amend the Constitution may be made at any regularly scheduled meeting of the Squadron, or at a special meeting of the Squadron convened by the Board within 30 days of receiving notice of a motion from at least six members. At least 60 days must elapse following the initial discussion of such motion by the membership before the motion is voted upon. For any amendment to the Constitution, the motion must be carried by a two thirds majority of responding members from a mail ballot submitted to the total membership.
